These Hyperwallet PYUSD Payouts Terms and Conditions (“PYUSD Payouts Terms”), which are incorporated into and a part of the Hyperwallet Service Terms and Conditions, comprise an agreement between PayPal Digital, Inc. (“PayPal Digital”, “we”, “our”, or “us”) and you, the company, or other business entity (“Merchant”, “you”, or “your”), and govern your use of the PYUSD Payouts (which are part of the Hyperwallet Services that are provided by PayPal Inc.). PYUSD Payouts are a Business Account Payment Solution (as defined by the PayPal User Agreement) and are subject to the PayPal Account Agreement to Arbitrate.
These PYUSD Payouts Terms incorporate by reference the Cryptocurrency Terms and Conditions. By using PYUSD Payouts, you agree to be bound by the Cryptocurrency Terms and Conditions with respect to your PYUSD Payouts. For purposes of the Cryptocurrency Terms and Conditions, PYUSD Payouts are considered a PayPal Digital service. However, the PYUSD Payouts do not require you to create a Crypto Account (as defined in the Cryptocurrency Terms and Conditions) applicable to Crypto Accounts shall not apply. In the event of any inconsistency between these PYUSD Payout Terms and the Cryptocurrency Terms and Conditions, these PYUSD Payouts Terms shall prevail on the subject matter of these PYUSD Payouts Terms. In the event of any inconsistency between these PYUSD Payout Terms and the Cryptocurrency Terms and Conditions, these PYUSD Payouts Terms will control with respect to PYUSD Payouts Terms.
Your use of PYUSD Payouts is also subject to the terms of the PayPal User Agreement, the Acceptable Use Policy, the Privacy Statement, the Electronic Communications Delivery Policy (E-Sign Disclosure and Consent), and the other applicable agreements between you and PayPal entities. Please read carefully all of these Terms, the terms of the above policies, and each of the other terms and agreements that apply to you.
By signing up for and using the PYUSD Payouts, you accept and agree to comply with these Terms, including the Fee pages, and any upcoming changes described on the Policy Updates page at the time you accept these Terms (which changes will apply to you on the indicated effective dates).
We may amend or otherwise revise these PYUSD Payouts Terms and any applicable policies from time to time. The revised version will be effective at the time we post it unless otherwise noted. If our changes reduce your rights or increase your responsibilities, we will provide notice of such changes in accordance with the terms of the PayPal User Agreement.
If you do not agree to these Terms or with any changes to these Terms, you are not permitted to access or use the PYUSD Payouts.
PYUSD is not insured by the Federal Deposit Insurance Corporation (FDIC), the Securities Investor Protection Corporation (SIPC) or any other public or private insurer, including against cyber theft or theft by other means. Cryptocurrency activity is not a regulated activity in many U.S. states and territories. Buying and selling cryptocurrency is inherently risky, and you should consider the risks before deciding to make PYUSD Payouts. Please see our State Disclosures for more information.

In order to use this service, you must have a PayPal business account in good standing and a Hyperwallet account, which is governed by the Hyperwallet Service Terms and Conditions. We may impose additional eligibility criteria or further restrict the availability of PYUSD Payouts.
PYUSD: PYUSD is a U.S. dollar-denominated stablecoin issued by Paxos Trust Company, N.A. (“Paxos”), not PayPal Digital, on each of the Ethereum and Solana cryptocurrency networks and is subject to the Paxos US Dollar-Backed Stablecoin Terms and Conditions (the “Paxos Terms”). PayPal Digital may permit you to make a Payout in the form of PYUSD. By making a PYUSD Payout, you are agreeing to the Paxos Terms. You should read the Paxos Terms carefully. The Paxos Terms contain important information about PYUSD, including how PYUSD is fully backed by an equivalent amount of U.S. dollar denominated bank deposits, U.S. Treasuries, and U.S. Treasury reverse repurchase agreements and how Paxos maintains custody of the assets backing PYUSD. PayPal Digital will exchange PYUSD for U.S. dollars at a price of $1.00 U.S. dollar per one PYUSD token, provided that we can concurrently buy that PYUSD with Paxos at the same price of $1.00 U.S. dollar per one PYUSD token. While PYUSD is designed not to fluctuate in value, the price of PYUSD may be higher or lower than $1.00 U.S. dollar on other exchanges. PayPal Digital does not guarantee Paxos’s performance. You are not entitled to any interest or earnings on assets backing PYUSD.
Service Providers: Certain custody, conversion, and transfer services are performed by Paxos or other licensed service providers. PayPal Digital is not liable to you if we or our service providers are unable or delayed in executing or settling your transactions. If our service providers are unable or delayed in executing and settling PYUSD transactions for any reason, PayPal Digital reserves the right to defer or cancel your PYUSD Payout.
PYUSD Payouts: When you make a PYUSD Payout, PayPal Digital will:
Although PYUSD is available on both the Solana and Ethereum cryptocurrency networks, PYUSD Payouts are only available on Solana. The destination wallet address provided by you or the payee must be designed to support PYUSD on Solana. Using the wrong destination wallet address type will result in the transmitted PYUSD being irretrievably lost. PayPal Digital and its affiliates are not responsible for losses or other damages resulting from the use of the wrong destination wallet address type.
Once your PYUSD Payout is submitted to the cryptocurrency network, the transfer will remain unconfirmed and pending until the cryptocurrency network confirms the transfer. You can read more about network confirmations, including the number of confirmations required for PayPal Digital to reflect a transaction as complete in the PayPal Help Center.
Even when a transfer is unconfirmed and pending, the transfer is irreversible. PayPal Digital does not own or control the cryptocurrency networks, and PayPal Digital makes no guarantee that a PYUSD Payout will be confirmed by the network. At the time your transaction is reflected as “confirmed” by PayPal Digital, your payee’s wallet provider may still require additional confirmations by the cryptocurrency network before reflecting the transfer. You cannot reverse, cancel or change any PYUSD Payout once it has been authorized.
If PayPal Digital cannot complete your conversion for any reason, we will notify you.
Delays; Network and Operational Risk: PayPal Digital does not guarantee your ability to perform PYUSD Payouts. Cryptocurrency assets and their underlying cryptocurrency networks are complex developing technologies that may be subject to delays, halts or go offline as a result of errors, forks, attacks or other unforeseeable reasons. The cost, speed, and availability of transacting on cryptocurrency networks are subject to significant variability. PYUSD Payouts may be delayed, suspended, or unavailable due to network conditions, system outages, compliance reviews, funding availability, service provider actions, legal or regulatory requirements, or other events beyond PayPal Digital’s control. PayPal Digital is not liable for delays or failures resulting from such circumstances and may defer or cancel PYUSD Payouts.
No Fiduciary Relationship: PayPal Digital and its affiliates act solely as service providers and do not owe fiduciary, advisory, or similar duties to you in connection with PYUSD Payouts. PayPal Digital does not provide you with any fiduciary services.
For your use of PYUSD Payouts, you agree to pay the fees, assessed and calculated as set forth on the Fees Page. The following definition applies to our PYUSD fees: "PYUSD Transfer" means a conversion of fiat from a Subaccount or Loading Account (as applicable) (as defined in the Hyperwallet Service Terms and Conditions) into PYUSD and a PYUSD Payout to a payee’s cryptocurrency wallet address.
